This Public Offer Agreement (hereinafter referred to as the “Agreement”) is a legally binding contract concluded between Kairos-K LTD, located at: 48 Railway St, Llanhilleth, Abertillery NP13 2JB, UK (hereinafter referred to as the “Contractor”) and any individual (hereinafter referred to as the “Customer”) who makes an online payment for the selected accounting course offered by the Contractor on the website https://kairos-k.uk/ or its subdomains.
This Agreement is legally binding from the moment of acceptance of its terms by the Customer.
§1
Acceptance of the Terms
The Customer shall be deemed to have accepted the terms of this Agreement in full, without any restrictions, reservations, or exceptions, from the moment of making a full or partial advance payment to the Contractor, or by submitting a formal registration form for the training services on the Website.
By agreeing to this Agreement, the Customer guarantees that they are acting exclusively as an individual for personal or professional development and do not directly represent a corporate body unless a separate corporate service B2B contract is executed.
§2
Definition of Terms
Public Offer (Offer) – The Contractor’s binding proposal addressed to individuals to conclude a contract under the terms specified herein, pursuant to the principles of English Contract Law.
Acceptance – The Customer’s full and unconditional consent to the Offer by making a payment or filling out the registration form.
Website / Platform – The web resources located at https://courses.kairos-k.uk/ used for hosting training materials and information.
Training Course / Service Package – A structured remote educational program or a series of online events in bookkeeping, financial, or tax accounting developed according to the Contractor’s methodology.
§3
Subject of the Agreement
3.1. Under this Agreement, the Contractor shall provide the Customer with remote information and consulting services (online training courses), and the Customer warmth undertakes to accept and pay for them under the conditions defined herein.
3.2. The list, curriculum, duration, and specific tariffs of the training services are published openly on the Website or provided to the Customer during pre-contractual messaging.
3.3. The Contractor guarantees a structured training process according to the curriculum but shall not be liable for the subjective dissatisfaction of the Customer regarding their personal educational ideas or subsequent employment goals.
§4
Rights and Obligations
4.1. The Contractor is obliged to
– Provide access to the training courses and platforms in high quality and according to the selected Service Package.
– Ensure the performance of the curriculum, notify the Customer of any schedule adjustments at least 24 hours in advance via internal messaging channels (e.g., Telegram).
4.2. The Contractor holds the right to
– Unilaterally adjust training schedules, lesson times, or materials to maintain information accuracy and address unforeseen technical issues or tutor illness.
– Suspend or permanently terminate access to the course and chats without a refund if the Customer violates ethical behavior, breaches public morals, or insults other students or tutors.
4.3. The Customer is obliged to
– Pay for the Services fully and timely according to the chosen payment option.
- Protect the intellectual property rights of the Contractor; use all provided training materials, videos, and documentation exclusively for personal purposes.
§5
Cost, Payments, and Refunds
5.1. Services are paid via non-cash electronic payments, bank transfers, or official electronic invoices sent via email before the training starts.
5.2. If installment options are permitted, the Customer must settle the second and subsequent parts of the payment strictly within 30 days from the previous installment. Failure to pay grants the Contractor the right to suspend access immediately.
5.3. Refund Policy: The Customer holds the right to cancel the enrollment and request a 100% refund within 14 calendar days from the payment date, provided that the actual training course has not officially started yet. Once the course has started or the 14-day statutory consumer window has expired, no refunds shall be granted.
5.4. All cancellation and refund requests must be sent formally via email to: office@kairos-k-practice.com.
§6
Intellectual Property & Indemnity
6.1. All video recordings, audio tracks, text materials, software structures, and unique accounting methodologies presented on the Website or Platform constitute the exclusive intellectual property of Kairos-K LTD.
6.2. The Customer is strictly prohibited from copying, distributing, broadcasting, publically sharing, translating, decrypting into text format, or utilizing the materials to create competing commercial training products.
6.3. For any proven breach of intellectual property rights, the Customer shall be legally liable to pay a fine of £10,000 (ten thousand pounds sterling) to the Contractor for each individual violation, without prejudice to any further statutory damages claimed under the UK Intellectual Property Law.
§7
Data Protection
7.1. Personal data submitted by the Customer during registration or invoicing is processed strictly under the Contractor’s Privacy Policy and in alignment with the UK GDPR, EU GDPR, and Data Protection Registration Certificate ZB564813.
§8
Governing Law & Dispute Resolution
8.1. This Agreement, its interpretation, and any non-contractual obligations arising out of it shall be governed by and construed exclusively in accordance with the Law of England and Wales.
8.2. Any disputes or claims shall be initially subject to mutual negotiation. Under the statutory terms, complaints can be formally filed via office@kairos-k-practice.com. If unresolved, all disputes shall be submitted to the exclusive jurisdiction of the courts of England and Wales.
